Welcome to CycleDay. Please read these Terms of Service carefully before using the CycleDay website and services. By accessing and using CycleDay (cycleday.co), you agree to be bound by these Terms of Service in their entirety. If you do not agree to these terms, please do not use this service.

1. Acceptance of Terms

By accessing, browsing, and using the CycleDay website and services, you acknowledge that you have read, understood, and agree to be bound by all provisions of these Terms of Service. These terms constitute a legal agreement between you and CycleDay. If you are using this service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. If you do not agree to any part of these terms, you may not use CycleDay.

2. Description of Service

CycleDay is an online platform that provides users with cycle tracking tools, informational content, and educational resources related to menstrual cycle management and wellness. The service includes features such as cycle tracking, symptom logging, personalized insights, cycle predictions, and general wellness information. CycleDay operates on a subscription-based model with a free trial period followed by paid subscription options.

The CycleDay platform is designed to provide informational and educational content only. Users may access features including but not limited to daily tracking capabilities, historical cycle data analysis, trend reporting, and general wellness recommendations based on aggregated, non-personalized information.

3. User Accounts

3.1 Account Creation

To use CycleDay, you must create an account by providing accurate, current, and complete information as requested during the registration process. You agree to maintain the confidentiality of your account credentials and are responsible for all activities that occur under your account. You must immediately notify CycleDay of any unauthorized use of your account or any other breach of security.

3.2 Account Eligibility

You must be at least 18 years of age to create and maintain an account with CycleDay. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding agreements. Users under 18 years of age are not permitted to use this service.

3.3 Account Responsibility

You are solely responsible for maintaining the confidentiality of your password and account information. CycleDay will not be liable for any loss, damage, or unauthorized access resulting from your failure to protect your account credentials. You agree to notify CycleDay immediately of any suspected unauthorized access to your account.

3.4 Account Termination

CycleDay reserves the right to suspend or terminate your account at any time, in its sole discretion, for any reason including violation of these Terms of Service, non-payment of subscription fees, or conduct that CycleDay deems inappropriate or harmful to other users. Upon termination, your right to use CycleDay will immediately cease.

4. Payment Terms

4.1 Subscription Pricing

CycleDay offers a subscription service at $9.00 per month (USD). A free trial period may be offered at CycleDay's discretion. After the trial period concludes, your account will be automatically converted to a paid subscription unless you cancel prior to the trial expiration date. You authorize CycleDay to charge your payment method on a recurring monthly basis.

4.2 Billing and Payment

You agree to provide accurate billing information and authorize CycleDay to charge your designated payment method for your subscription fees. Payment will be processed on the date your subscription begins and will recur monthly thereafter on the same calendar date. All charges are non-refundable except as expressly stated in the Refund Policy section below. Taxes may be applied to your charges where applicable by law.

4.3 Payment Method

You grant CycleDay permission to retain your payment method information to process recurring monthly charges. CycleDay uses industry-standard encryption and security measures to protect your payment information. You are responsible for ensuring that your payment method remains valid and current. If a charge fails due to an expired or invalid payment method, CycleDay will attempt to process the charge again. Repeated failed payment attempts may result in the suspension or termination of your account.

4.4 Price Changes

CycleDay reserves the right to modify subscription pricing at any time. If the price of your subscription increases, CycleDay will provide you with at least 30 days' notice. Your continued use of the service following notification of a price increase constitutes acceptance of the new pricing. If you do not accept the price increase, you may cancel your subscription in accordance with the Cancellation Policy section below.

4.5 Cancellation Policy

You may cancel your CycleDay subscription at any time by logging into your account and following the cancellation instructions, or by contacting CycleDay support at support@cycleday.co. Cancellations become effective at the end of your current billing period. You will retain access to the service through the end of your paid billing period. If you cancel before your next scheduled charge date, no further charges will be applied to your account. CycleDay does not prorate fees for partial months. To avoid future charges, you must cancel your subscription before your next billing date.

4.6 Refund Policy

Except as expressly provided in this section, all subscription fees are non-refundable. CycleDay offers the following limited refund policy:

30-Day Refund Guarantee: If you are dissatisfied with your CycleDay subscription, you may request a full refund of your subscription fee within 30 days of your initial payment, provided that you have not accessed the service for more than 5 days during that 30-day period. To request a refund, you must contact support@cycleday.co with your account information and reason for the refund request. Refund requests submitted after 30 days from the initial payment date will not be eligible for reimbursement. Approved refunds will be credited to your original payment method within 5-10 business days.

Monthly Billing Refunds: Refunds for monthly subscription charges will not be issued for partial months of service. If you cancel your subscription mid-month, you will retain access through the end of your current billing period, but no prorated refund will be issued.

Refund Limitations: CycleDay reserves the right to deny refund requests in cases of abuse, including but not limited to: multiple refund requests from the same user, cancellation and re-subscription patterns intended to circumvent the service, or violation of these Terms of Service.

5. Intellectual Property Rights

5.1 CycleDay Intellectual Property

All content, materials, software, design, text, graphics, logos, images, videos, sound recordings, and other intellectual property contained within the CycleDay platform are owned by CycleDay or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You do not acquire any ownership rights to any such content by accessing or using CycleDay.

5.2 Limited License

CycleDay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the CycleDay service for your personal, non-commercial use only. This license does not permit you to reproduce, distribute, modify, create derivative works from, or publicly display any CycleDay content without explicit written permission from CycleDay. Any unauthorized use of CycleDay's intellectual property is a violation of these Terms of Service and applicable law.

5.3 User-Generated Content

Any information, data, or content you input into CycleDay, including cycle tracking information, notes, and symptoms logged, remains your property. However, by providing this information to CycleDay, you grant CycleDay a worldwide, royalty-free license to use, store, analyze, and process this data for the purpose of providing and improving the service. CycleDay may use aggregated, anonymized data for research, analytics, and service improvement purposes. Personal information will be handled in accordance with CycleDay's Privacy Policy.

5.4 Restricted Activities

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of CycleDay for any commercial purpose without express written consent from CycleDay. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code, trade secrets, or other proprietary information contained in CycleDay. You may not use automated tools, bots, crawlers, or scraping technology to access CycleDay's content or services.

6. Limitation of Liability

6.1 Disclaimer of Warranties

CycleDay is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. CycleDay makes no representations or warranties regarding the accuracy, completeness, reliability, or quality of the service. To the fullest extent permitted by applicable law, CycleDay disclaims all warranties, express and implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 Accuracy and Reliability

While CycleDay strives to provide accurate information and reliable service, CycleDay does not guarantee that:

The accuracy of cycle tracking features depends on the accuracy and consistency of data you input. CycleDay is not responsible for errors, omissions, or inaccuracies resulting from user input.

6.3 Limitation of Damages

To the maximum extent permitted by applicable law, in no event shall CycleDay, its owners, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, goodwill, or other intangible losses, even if CycleDay has been advised of the possibility of such damages. This limitation applies regardless of whether the claim arises from breach of contract, tort, negligence, strict liability, or any other legal theory.

6.4 Cap on Liability

In no case shall CycleDay's total liability to you exceed the amount you have paid to CycleDay in subscription fees in the twelve months preceding the claim. If you have not paid any fees, CycleDay's liability shall not exceed $100. Some jurisdictions do not allow limitations on liability, so this limitation may not apply to you.

6.5 Essential Terms

You acknowledge that these liability limitations are essential terms of this agreement and that CycleDay would not provide the service without these limitations.
